I came to Singapore thinking I’d need to fly into Bukit Batok, sign a Technology License Agreement in person, and shake hands with some lawyer in a suit.
I was wrong.
Not because Singapore is lax — it’s the opposite. It’s just that the rules you assume are written in stone? Most of them are written in sand. And the tide? It moves faster than your visa renewal.

In China, signing a contract — especially one involving IP — means you, your ID, your company seal, and a notary in the same room. No exceptions. You show up. Or you don’t get paid.

The Intellectual Property Office of Singapore (IPOS) lets you record licenses.
The ACRA lets you file as a foreign entity.
But here’s the catch:
You still need a local agent.
Not because the law says so. But because the system expects it.
I tried uploading the TLA myself via ACRA’s portal. Got rejected. Reason: “Incomplete witness declaration.” I didn’t know — in Singapore, even digital contracts often require a witness with local residency. Notarization? Optional. Witness? Almost mandatory.
So I hired a local company secretary in Bukit Batok — cost: S$450.
They provided:
- A local witness (their officer)
- A certified copy of the company’s DIR-12 form
- A notarized affidavit of authority (for my overseas signature)

I sent them a 12-second clip: me holding my passport, signing the document, stamping it with the company seal, and saying: “I, Haishui, authorize this license.”
They replied: “Thank you. This is sufficient.”
That’s the invisible layer: trust is verified, not mandated.
In China, you need a notary because you’re assumed to be untrustworthy.
In Singapore, you’re assumed to be trustworthy — unless you give them a reason not to be.
I didn’t need to fly.
I just needed to prove I wasn’t a scammer.
And that’s harder than it sounds.
四、创业者心理差异:控制欲 vs 信任感

If I’m not there, I’m not in control.
If I’m not signing, I’m not safe.

The biggest risk isn’t the contract.
It’s your own fear.
I spoke to three other Chinese exporters who’d signed similar agreements in Singapore.
Two of them flew in. One spent S$5,000 on a “security audit” before signing.
The third? Signed digitally. Used a local agent. Got the payment on time.
Two years later, the partnership is still active.
He told me:
“I used to think signing in person meant control. Now I know — control is in the contract terms, not the handshake.”

→ If you don’t, hire a registered filing agent (cost: S$300–600).
